Preamble

This agreement is made between RAWPIX Establishment, Unified National Number 7023365419, Kingdom of Saudi Arabia (“RawPix”), and the business or freelance-certificate holder accepting it electronically (“the Provider”). It is binding from the moment of consent.

Article 1: Definitions

  1. Platform: the RawPix website, apps and dashboards.
  2. Client: any individual or entity requesting a service through the platform.
  3. Service: any photography or visual production service the provider offers in their menu or offers.
  4. Booking: a service request with a date, location, duration and delivery date, confirmed when the provider accepts and the amount is charged.
  5. Invoice: the electronic invoice issued through the platform; it is the only reference for what the booking includes.
  6. Chat room: the communication channel between client and provider inside the platform.
  7. Team: everyone working with or on behalf of the provider in delivering the service.
  8. Objection period: fifteen days starting from the event date.
  9. Earnings: what remains for the provider from the booking value after deducting commission, fees and any recorded debt.
  10. Competent authority: the judicial authorities in the Kingdom, the Taradhi platform, or any approved conciliation body.
  11. Business day: any day except Friday, Saturday and official holidays in the Kingdom.

Article 2: Capacity of the parties

  1. RawPix is a technology platform and a limited collection agent on the provider's behalf.
  2. The service contract is made directly between the provider and the client; RawPix is not a party to it.
  3. RawPix is not a guarantor or surety for either party, not an employer of the provider or their team, and not their partner or agent other than for collection.
  4. The provider alone is responsible for the execution, quality and delivery of the service, and for their own and their team's performance.
  5. RawPix's verification of the provider's documents is not a guarantee of their style or quality towards anyone.

Registration and verification

Article 3: Eligibility and registration

  1. The provider registers as one of three types: a company, an establishment, or a Saudi freelance-certificate holder.
  2. Registration happens in two stages: initial details, then legal documents before activation.
  3. The account is not activated and the dashboard is not handed over until the details and documents are complete and verified and this agreement is signed.
  4. An incomplete request is rejected, and the provider registers again.
  5. RawPix may accept or reject any request without giving reasons.

Article 4: Legal documents

  1. The provider submits: a commercial registration with an activity covering photography or a freelance certificate in the same category, the national address, an IBAN certificate from the bank, and a VAT certificate if registered or a non-registration declaration.
  2. The provider keeps their documents valid throughout the agreement and informs RawPix of any change within 7 days.
  3. RawPix verifies documents through official sources and re-verifies them periodically without requesting new files.
  4. Legal responsibility rests with the registered entity, regardless of who actually did the work.

Article 5: Bank account

  1. The bank account is in the registered provider's own name and matches their registration and national address.
  2. Earnings are never transferred to an account in a different name.
  3. A bank account change is approved only after confirmation through a second channel, and transfers may be suspended until verification is complete.

Article 6: Team

  1. The provider is fully responsible for every member of their team, as if the work were done by them personally.
  2. The provider ensures every team member works lawfully under the Kingdom's labour laws.
  3. Assigning a booking to another provider or anyone outside the team is prohibited without the client's consent recorded in the chat room.
  4. Renting out the account or registering in someone else's name is prohibited, and any concealment permanently suspends the account.

Collection, commission and pricing

Article 7: Collection authorization

  1. The provider authorizes RawPix to collect each booking's value on their behalf, hold it only during the objection period, then release it under Article 21.
  2. Collected amounts are kept in a bank account separate from RawPix's operating account and are not used for any other purpose.
  3. RawPix's receipt of the amount from the client discharges the client's obligation to the provider for the booking value.

Article 8: Commission and fees

  1. RawPix's commission and payment gateway fees are added on top of the provider's price, and the client pays them within the final price.
  2. The applicable rates are shown to the provider in their dashboard and change only with 30 days' notice.
  3. Any rate change does not apply to bookings confirmed before it.

Article 9: Pricing

  1. The provider is free to price their services within the units set by the platform.
  2. The provider's share of any booking, after any saving, is not less than the minimum set by RawPix.
  3. The displayed price is final, and requesting any amount from the client outside the invoice is prohibited.
  4. Any additional service or time is requested and paid only through the platform.
  5. Offering a service without a set price is prohibited.

Article 10: Offers and packages

  1. The provider may add offers and packages with a saving of no more than 25% of the base price.
  2. An offer is valid for seven days and is removed automatically if not renewed.
  3. The saving applies to the full price, and the provider's share and the commission decrease by the same proportion.
  4. An approved offer's content is fixed, and the provider must deliver it in full for every booking made during its validity.
  5. If the provider closes a service included in an offer, the offer stops automatically.

Calendar and orders

Article 11: Calendar and capacity

  1. The provider keeps their availability calendar up to date, including days busy outside the platform.
  2. The maximum is four orders per service per day, counted by the event date.
  3. At least one hour of travel time separates any two bookings of the same provider, and the system rejects time-conflicting bookings.
  4. The provider has closing tools: a specific service, a day in the calendar, or order intake entirely.

Article 12: Acceptance time

  1. The provider responds to each order within two hours; hours from 1 AM to 10 AM do not count.
  2. The response time never extends past the event date itself, and events less than 24 hours away are ordered through customer service.
  3. The provider may enable auto-accept; every order matching their calendar and delivery dates is then deemed accepted by them.
  4. The provider's approval temporarily holds the slot for the client, who completes payment within two hours under the same hours rule. The booking is not confirmed and no delivery obligations begin until payment succeeds; if the client does not pay, the order is cancelled automatically and does not count against the provider.
  5. If the reply time ends without a response, the order is passed to customer service, and it counts in the provider's performance indicators.

Article 13: Declining an order

  1. Declining counts against the provider, because they set the closing tools and delivery range in advance.
  2. Repeated declines affect their ranking on the platform and may lead to suspension under Article 22.
  3. Declining before acceptance creates no financial debt, because no amount was charged.

Service delivery

Article 14: Attendance and execution

  1. The provider must attend at the set arrival time and location, with the team and equipment stated in the invoice.
  2. The provider follows the client's preferences recorded in the order, including the team's dress and execution requirements.
  3. The service duration counts from the arrival time, and the provider is not obliged beyond it except with overtime paid through the platform.
  4. Any change to the date, location or scope must be recorded in the chat room; otherwise it is not valid.

Article 15: Professional conduct

  1. The provider and team observe public decency and local customs and respect the client and guests.
  2. Smoking, being busy with personal phones during the work, and any shooting with non-work devices are prohibited.
  3. Self-promotion or exchanging personal contact details with the client or guests is prohibited.

Article 16: Permits

  1. The provider is responsible for obtaining the permits required for their type of shooting and equipment, such as drones, commercial shooting, and shooting in public places and government sites.
  2. The drone service is not enabled in the provider's menu until a General Authority of Civil Aviation permit is uploaded.
  3. The venue permit itself is the client's responsibility, and the provider informs them in advance of what is needed.
  4. Any violation due to a missing permit that is the provider's responsibility is borne by them alone.

Article 17: Equipment and damage

  1. The provider's equipment is their responsibility; RawPix is not liable for any damage or loss of it.
  2. The provider bears any damage they or their team cause to the client's property or the venue.
  3. The provider is advised to insure their equipment and third-party liability.

Article 18: Delivery date

  1. For each service in their menu, the provider sets the earliest and latest delivery date, from right after the event up to the period they see fit.
  2. The client chooses their date within this range when ordering.
  3. The provider's acceptance of the order is a binding commitment to the chosen date and is recorded in the invoice.
  4. The date may only change by agreement of both parties in the chat room.
  5. The provider must update the “Arrived” and “Delivered” statuses, and optionally “Finished”.
  6. Content is delivered directly to the client, or to the booking holder for women-only events.

Article 19: Keeping materials

  1. The provider keeps materials safely from the event until delivery, then keeps a backup for 30 days after delivery and deletes it permanently.
  2. Women-only event materials are deleted immediately on delivery with no backup.
  3. Loss of materials before delivery is the provider's sole responsibility towards the client.

Article 20: Communication and no circumvention

  1. All communication with the client takes place in the chat room.
  2. Agreeing with a client the provider met through the platform on any service outside it is prohibited for 12 months from the last booking.
  3. The first violation suspends the account, and repetition suspends it permanently.

Earnings, cancellation and suspension

Article 21: Releasing earnings

  1. The client may object during the objection period.
  2. If the period ends without objection, the earnings are released and transferred within 7 business days.
  3. On objection, only the disputed part is held, and the rest is released on time.
  4. RawPix releases the held amount in only two cases: a written agreement between the parties in the chat room, or an enforceable decision from the competent authority.
  5. If the client does not refer the matter to the competent authority within 30 days of their objection, the amount is released to the provider.
  6. Any debt recorded against the provider is deducted from earnings before transfer.
  7. All of the provider's financial transactions appear on the earnings page of their dashboard.

Article 22: Suspension and termination

  1. RawPix may suspend order intake or the account for breach of the agreement, an expired document, or accumulated debt.
  2. Three proven cancellations or no-shows within 90 days suspend the account permanently.
  3. Repeated circumvention, concealment, forged documents, serious abuse, or leaking any content suspends the account permanently from the first time.
  4. The provider is told the reason for the suspension and may object within 7 days.

Article 23: Client cancellation

  1. The provider is entitled to nothing for a cancellation before payment.
  2. After payment, the provider is entitled according to the cancellation time:
Client cancellation timeProvider entitlement
More than 24 hours ahead — non-weddingNothing
More than 24 hours ahead — weddings25% of their share as a booking deposit
24 to 12 hours aheadTheir share of the deducted half, at the booking's proportions
Less than 12 hours aheadTheir full share
  1. The provider's share from a cancellation stays pending until the event date has passed.
  2. In force majeure, the wedding deposit is refunded to the client and the provider is entitled to nothing.

Article 24: Provider cancellation and no-show

  1. If the provider cancels after the booking is confirmed, the client is refunded in full automatically.
  2. If the provider does not record “Arrived” at the location within one hour of the arrival time and the client reports a no-show, the full amount is refunded automatically, unless the provider proves attendance with platform records within 48 hours.
  3. In both cases a debt is recorded against the provider: the commission, a 10% administrative fee, and gateway fees, deducted from their next earnings.
  4. Order intake is suspended until the debt is paid.
  5. These two cases are automatic based on platform records, and are not a ruling by RawPix in a dispute.

Article 25: Earnings of a suspended account

  1. The provider must fulfil bookings confirmed before the suspension, unless the client asks to cancel with a full refund.
  2. Their established earnings are transferred after deducting debts and after the objection period of their last booking ends.

Disputes and invoicing

Article 26: Objections and records

  1. An objection is raised from within the booking, stating the reason and evidence.
  2. The provider may respond in the chat room, and anything agreed there binds both parties.
  3. Chat rooms are kept read-only for two months after the booking; those linked to an objection are not deleted until it ends and legal periods expire.

Article 27: Disputes with the client

  1. Any dispute about the execution, quality or delivery of the service is exclusively between the provider and the client. RawPix is not a party, not an arbitrator, and not obliged to decide it.
  2. It is recommended to take the dispute to the Taradhi platform before going to court.
  3. RawPix provides either party, or the competent authority on request, with an extract of platform records: the invoice, chat, statuses and timings. Platform records are binding evidence between the parties.
  4. Each party appoints its own representative at its own cost, and the party ruled against bears legal fees and expenses to the extent decided by the competent authority.

Article 28: Disputes between the provider and RawPix

  1. Any disagreement is first addressed amicably within 30 days of notice by either party.
  2. After that, either party may go to the competent courts in Riyadh.

Article 29: Invoicing and tax

  1. The invoice is issued through the platform when payment succeeds, in line with the Zakat, Tax and Customs Authority requirements.
  2. An invoice is never cancelled once issued; any refund is issued a credit note for the refunded amount only.
  3. For a VAT-registered provider, VAT is added to their services per their data, and they are responsible for remitting it.
  4. The provider is responsible for zakat and taxes on their income; RawPix bears no obligation for them.

Ownership, privacy and content

Article 30: Photos and copyright

  1. Materials are delivered to the client for their use under the Kingdom's Copyright Law.
  2. The provider may not publish any material from a client's work in their portfolio, Pix or any medium without the client's explicit consent through the platform.
  3. The provider is responsible for ensuring everything they publish on their page is their own work and that they have the right to publish it.

  1. Reviews come only from clients who completed real bookings, and manipulating them in any way is prohibited.
  2. The provider may respond to a review respectfully and request removal of an abusive or misleading review.
  3. RawPix periodically reviews the provider's performance — acceptance rate, response speed, punctuality in arrival and delivery, and reviews — which affects their ranking.

Article 35: Names and marks

  1. RawPix may use the provider's name and logo in marketing the platform.
  2. The provider may state that they are a verified RawPix provider, without using its logo in a way that suggests a partnership or agency.

Article 42: Amending the agreement

Article 43: Notices

Notices are sent through the dashboard and the registered email, and critical ones via WhatsApp Business; they are deemed received once sent.

Article 44: Electronic consent

Consent by ticking the three boxes and signing in the owner's name is a binding electronic signature under the Kingdom's Electronic Transactions Law.

Article 51: Chargebacks

  1. If the client disputes the transaction with their bank, RawPix provides the bank with the booking records.
  2. If the amount is returned to the client because of the provider's proven cancellation or no-show, the amount is recorded as a debt against them. If the dispute is unjustified after the amount was released, their earnings are not affected.
